A series structure is most often considered when a holder has genuinely distinct pools that each want their own walls:
- Multi-asset segregation, separating high-risk active trading from long-term preservation assets so a problem in one does not reach the other.
- Multi-beneficiary planning, carving out separate series for different family members or beneficiaries under one umbrella.
- Strategy separation, isolating a DeFi/staking series, with its smart-contract risk, from a passive holding series.

The Risks and Uncertainty
The central caution: the liability separation between series is not as proven as separation between distinct LLCs. Several real limits apply.
- Untested inter-series shield. Courts in many jurisdictions have not squarely ruled on whether one series' assets are protected from another series' creditors, especially across state lines. A creditor or court in a state that does not recognize series LLCs may disregard the internal walls.
- Recognition and tax uncertainty. Not every state recognizes series LLCs, and treatment for tax, banking, and bankruptcy purposes can be unsettled.
