To complete your operating agreement, replace every placeholder field in the template with your information, fill in Schedule 1 (ownership) and Schedule 2 (capital contributions), check that the details match your other records, then sign and date it. This guide covers a single-member Wyoming LLC and walks through each field so the finished document is accurate, consistent with your other records, and ready to sign.
What Do You Need Before You Start?
Have these on hand:
- Your Articles of Organization
- Your EIN confirmation letter
- The address where you actually operate the LLC
- If a trust will own the LLC, your trust name and date
Step 1: How Do You Complete the Template Fields?
Fields appear in the template between asterisks, such as ***THIS***. Replace each one, including the asterisks, with your information. Where the template offers a choice in [square brackets], keep the option that applies to you and delete the other.

Keep one option. If you personally own the LLC, keep "an individual." If your trust owns the LLC, keep the trustee wording and enter the trust's exact name and date as shown on your trust document. Delete the option you are not using, and do the same in the signature block. |

Step 2: How Do You Complete Schedule 1 (Member and Membership Interest)?
Schedule 1 records who owns the LLC. Enter your name, your mailing address, and 100% as the Membership Interest.
- Owned by you personally: enter your full legal name and address.
- Owned by your trust: enter the trustee's name and the trust name, with the trustee's address.
Keep Schedule 1 current. If ownership ever changes, update it right away.
Step 3: How Do You Complete Schedule 2 (Capital Contributions)?
Schedule 2 lists what you have contributed to the LLC. If you are contributing assets at formation, complete one row per asset:
- Date: the date the asset moved into the LLC.
- Wallet / Account: where the asset is held.
- Name of Asset: for example, XRP, BTC, or USD.
- Amount: the quantity contributed.
- USD Value on Date: the fair market value on the date of contribution, not what you originally paid for it. A reputable pricing source, such as a major exchange, works well. Keep a screenshot or record of the source you used.
What if You Have Nothing to List Yet?
You can leave the sample rows blank, or enter "none." You can document contributions later through your monthly compliance checklist. The specific details you type there, such as the asset, value, and date, are what your resolution reflects.
Do You Still Need Your Own Records?
Yes. Schedule 2 is a summary, not a detailed ledger. Keep your own purchase and cost-basis records for tax purposes.
Step 4: What Should You Check Before You Sign?
Platform and bank reviews often look for mismatches. Before you sign, confirm that these items match across your documents:
- Your LLC name matches your Articles of Organization, EIN letter, and W-9.
- Your name matches your ID and EIN application.
- Your business office address matches your proof of address.
- No
***placeholders***or unused[bracketed]options remain. - The effective date is the same in both places.
Step 5: How Do You Sign and Date the Agreement?
Sign on the signature line, and print your name and the date. If your trust owns the LLC, sign in your capacity as trustee using the trust wording in the signature block. An unsigned agreement, or one with blanks, won't be accepted for account verification, so double-check before you submit it. Electronic signatures are permitted under the agreement.
Common Questions
Do You Need to Notarize the Operating Agreement?

Can You Change the Wording?

What if You Own the LLC Through a Trust?
Use the trustee wording and list the trustee on Schedule 1.
